“LA SOCIÉTÉ PAR ACTIONS SIMPLIFIÉE (SAS).
BILAN ET PERSPECTIVES”

The book review gives a brief overview of conference proceedings “La Société Par Actions
Simplifiée (SAS). Bilan et Perspectives” (“Simplified Joint-Stock Companies. Experience and
Perspectives”) edited by Pierre-Henri Conac1 and Isabelle Urbain-Parleani2. Act No. 94-1
dated January 3, 1994 introduced SAS into French laws, and Delaware experience was
assessed while the Act was drafted. The introduction of SAS was denoted as a revolution
in the French corporate law3 because the new type of companies brought together the
advantages of partnership-like body corporates (groupement d’intérêt économique) and
body corporates aimed at capital pooling (société anonyme). The conference proceedings
edited by Prof. Conac and Prof. Urbain-Parleani were published following a conference on
20th anniversary of SAS held on January 23, 2014 in Paris Descartes University – Paris V
with the support of the Ministry of Justice of France and Max Planck Institute Luxembourg.
The articles contributed to the conference proceedings sum up law enforcement experience
and might be of particular interest for the readers in the context of the reform of Russian
corporate law and the attempts to liberalize it.
