О природе исполнительного органа в контексте теорий юридического лица

В статье исследуется вопрос о связи теорий юридического лица и теорий, объясняющих природу исполнительного органа юридического лица. Фикционным теориям юридического лица соответствует взгляд на орган как на представителя. Теория реальной союзной личности (органическая теория) рассматривает орган как часть юридического лица. Анализируя последствия выбора каждой из теорий, в том числе на примере иностранных правопорядков, автор оспаривает тезис о неактуальности теории реальной союзной личности.

The article analyses correlation between theories of legal person and doctrines explaining the nature of executive body of a legal person. The view on the executive body as on a type of representative corresponds to the theories of fiction. The theory of the real personality of a special union (organic theory) considers the body as a part of legal person. Analyzing the consequences of choice of each of the theories, as well as the foreign law experience, the author challenges the opinion that theory of the real personality is irrelevant to modern practice.
